Prologis, Inc. reports Thursday, October 15, 2026. Prepared Thursday, September 24, 2026. This is the 2026Q3 operations quarter, ending September 30, and it has not printed. The call is 9:00 a.m. PT / 12:00 p.m. ET. Last reported quarter is 2026Q2, released July 16, 2026. Prologis is a calendar-year industrial REIT. The scorecard is Core FFO per share, not GAAP EPS. The homepage calendar labels this date 2026Q4; that is the announcement-month quarter, one quarter ahead of operations. This page is 2026Q3.
| FY2026 Core FFO | $6.22–$6.30 · mid $6.26 · +7.7% YoY | Q3 Core FFO | Not guided · H2 embed ~$1.57 · Zacks $1.58 |
| Cash same-store NOI | FY 6.75–7.25% · below the 8.5% Q2 print | SEGRO | Vote Sep 28 · close guided H1 2027 · not in 2026 FFO |
The quarter is a confirmation print inside a guide that has already been raised twice. Tone is the best it has been in four quarters, and the September 15 BofA appearance said leasing, occupancy, and market rents were still running with that Q2 trend. The narrowed FY2026 Core FFO range of $6.22–$6.30 (mid $6.26, +7.7% versus FY2025 $5.81) already banks it. Prologis does not guide the quarter. H1 Core FFO is $1.50 + $1.63 = $3.13. At the midpoint, the second half is also $3.13. An even split is about $1.57, roughly +5% versus Q3 2025 Core FFO of $1.49. Q2 just grew +11.6%. The guide embeds about 660 bps of deceleration in the quarterly YoY rate. That is a hold-the-line setup, not a new-raise setup.
Growth trajectory. Headline Core FFO per share went from a 2024 decline of −0.9% ($5.56) to +4.5% in 2025 and a guided +7.7% in 2026. Quarterly headline growth did the same turn and then some: +4.2% in 2025Q3, −4.0% in 2025Q4, +5.6% in 2026Q1, +11.6% in 2026Q2. Part of the Q2 spike is promote. Ex-promote Core FFO was $1.60, +8.8% versus $1.47, and the FY ex-promote midpoint is +6.8% versus FY2025 ex-promote $5.86. Rental revenue, the repeatable line, never went negative. Q2 rental revenue was $2,177.1 million, +7.5% versus $2,025.3 million. Cash same-store NOI reaccelerated from a 4.9% trough in 2025Q2 to 8.8% and 8.5%. Rent change went the other way: net-effective rollover 30.4% versus 44.2%, −1,380 bps.
What to watch on October 15
- Same-store versus a guide that assumes it cools. The FY cash same-store band is 6.75%–7.25%. Both first-half prints sit above the high end. A quarter still near 8% pressures a third raise. A quarter under 6.75% breaks the floor the company just lifted.
- Occupancy has to rebuild, not surge. The FY average-occupancy guide is 95.25%–95.75%. The ceiling has not moved since January. Prologis-share average occupancy in Q2 was 94.9%, under that floor. The midpoint needs a real second-half lift. Same-store average occupancy of 95.3% is a different series. Do not mix them.
- Do not carry the Q2 promote. Promote revenue was $83 million. Net promote for the year was reset to flat. 2025Q3 promote was $1 million. A $1.63 run-rate double-counts a Mexico FIBRA fee.
- Logistics starts, not another data-center slug. First-half data-center starts already filled the roughly $2 billion bucket inside the starts guide. The owned-and-managed starts range of $5,500 million–$6,500 million is now a logistics test. Those starts do not drop into Q3 Core FFO.
- SEGRO is the headline that can drown the print. Court and general meetings are September 28. Closing is guided to the first half of 2027. Company language is broadly neutral to minimally dilutive to Core FFO in year one. The August equity deal (15 million shares at $139.85, plus a 2.25 million greenshoe) was not in the July per-share math. On the supplemental's 957.9 million diluted shares, 17.25 million new shares are about 1.8% of the base and on the order of $0.05 of a $6.26 midpoint for the stub of 2026, before interest income. The July range is only $0.08 wide.
- GAAP EPS of $0.79 is the wrong hurdle. FMP's 2026-10-15 estimate is GAAP diluted EPS $0.79 and rental-basis revenue $2,162 million. Q2 GAAP actual was $1.13 against an FMP estimate of $0.747, while Core FFO was $1.63. Realized development gains sit in GAAP and out of Core FFO. The gains guide was raised to $600 million–$700 million.
Visible Alpha is not connected. Bloomberg here is symbology only (PLD US Equity). There is no full-street Core FFO consensus. Zacks, as of a September 11 estimates page and a September 24 calendar scrape that was bot-walled on a direct fetch, shows current-quarter $1.58 (range $1.56–$1.60, two estimates) and FY2026 $6.27 (range $6.22–$6.29, four estimates). The year-ago figure on that page is $1.49, which matches Core FFO, not GAAP. Treat $1.58 as a thin proxy sitting on the embedded second half, not as a Visible Alpha number. FY consensus inside $6.22–$6.30 means the street is not positioned for another large raise. Internal models were unavailable. Beat-bias from the record is another beat or an in-line, with the average surprise down from +4.9% to +2.8%. A repeat of +6% to +9% needs another promote or a guide-versus-street gap, not the recent operating run-rate.
No large US industrial REIT prints before Prologis. First Industrial, Rexford, and EastGroup are on third-party calendars after October 15, and those dates are not company-confirmed. The only peer item already in the window is Rexford's roughly $1.2 billion portfolio sale on September 17, with the 2026 guide reaffirmed. There is no same-sector earnings read-through into this call.
Prologis guides the year, not the quarter. The live outlook is the FY2026 range issued July 16. Nothing since then has restated Core FFO, occupancy, same-store, or deployment. Classification on the operating math they published: slightly conservative. Three straight years finished at or a penny above the high end of the last pre-year-end guide, and the new range does not assume the Q2 run-rate continues. After the August share issue, which is not in that math and arrives before any SEGRO earnings, the per-share promise is closer to in-line. Cash same-store is conservative versus the first-half pace. The occupancy midpoint is slightly aggressive versus first-half Prologis-share occupancy. Development-start guidance is aggressive.
The CFO's "100 basis point increase at the midpoint of prior guidance" is the ex-promote growth rate, not the dollar midpoint. Prior ex-promote mid $6.20 was +5.8% versus FY2025 ex-promote $5.86. The new mid of $6.26 is +6.8%, about +100 bps. The including-promote midpoint rose more, from $6.15 to $6.26 (+$0.11), because the promote assumption moved from −$50 million to flat. About five cents of that headline raise is that drag coming out. The other ~$0.06 is a pass-through of the Q2 beat. G&A ($510 million–$525 million) and strategic-capital revenue excluding promotes ($660 million–$680 million) were not raised. A team leaning into a new run-rate would have lifted fees and costs with FFO. They did not.
Versus consensus, Core FFO is not scorable on a full street book. Zacks FY $6.27 sits inside the company range, a penny above the $6.26 mid. FMP's annual book is GAAP, not Core FFO. FY2026 EPS average $3.69 (four analysts) is −17.5% versus the company GAAP midpoint of $4.475, and it sits under the January guide low of $3.70. That is a stale or different EPS construct. It is not quarterly GAAP $0.79 annualized, and it is not the street sitting 17% below the operating forecast. Company GAAP mid $4.475 is +25.7% versus FY2025 diluted EPS of $3.56, because development gains are in earnings and out of Core FFO. Core FFO's +7.7% is the operating comparison.

| GAAP EPS (company) | $3.70–$4.00 | $3.80–$4.05 | $4.40–$4.55 | $4.475 | Gains-driven. Not comparable to FMP's $0.79 quarterly GAAP estimate. |
Initial-guide beat rate versus the midpoint is 3 for 3 (2023, 2024, 2025), average about +1.9%, and every year finished at or above the original high. Final-guide record: no misses. 2023 finished a penny over a $0.02-wide range ($5.61 versus a $5.58–$5.60 final). 2024 beat a cut range and landed on the original high ($5.56). 2025 nailed the high end exactly at $5.81 versus a final $5.78–$5.81. The habit is to finish on the high end of a later, tighter range. 2024 is the exception that matters: they cut mid-year, then beat the cut. A cut on October 15 would break the 2025 pattern. It would not be unprecedented.
One more quarter at the Q2 level of $1.63, with the other second-half quarter only at the embedded ~$1.57, is about $6.33, above the $6.30 high. The range holds only if both remaining quarters average about $1.57. A $1.58 in-line versus the thin Zacks proxy, followed by a similar Q4, lands near $6.28, inside the band. The third raise is the historical pattern only if Q3 refuses to decelerate.
Business type is an industrial REIT. The stack above total revenue is rental revenue, strategic capital (recurring fees versus promote), and a small development-management line. Occupancy, same-store NOI, and rent change sit above rental revenue. Gross margin, operating margin, and EBITDA margin are Not Guided. Internal is n/a on every line. % Diff versus a guide is n/a wherever the quarter is not guided. Do not read a blank as a beat.

YoY context, since % Diff cannot be computed. Zacks $1.58 is about +6% versus 2025Q3 Core FFO of $1.49. FMP rental revenue of $2,162 million is +5.3% versus $2,054.2 million, a roughly 220 bp deceleration from Q2's +7.5%. Zacks sales of $2.20 billion is +7.1% on the same rental family. The two revenue bars disagree by about $40 million. Neither is total revenue. 2025Q3 total revenue was $2,214 million. Using $2,162 million against that total would manufacture a miss. FMP GAAP EPS of $0.79 is −3.7% versus $0.82, and that estimate has been a low bar because gains land outside Core FFO.
FQ+1 — 2026Q4
They will not publish a Q4 range on October 15 either, unless the habit changes. Q4 is the residual of the FY band. FMP's earnings feed has no 2026Q4 row. The only numerical fence today is that Q3 plus Q4 Core FFO has to land in $3.09–$3.17 for the FY range to hold, because H1 is already $3.13. That fence moves the morning Q3 prints. It is not a Q4 guide.

FY2026 standing guide, and FY2027 (not guided)
FY2027 Core FFO, revenue, and EPS are Not Guided. Zacks' own next-year figure of $6.66 is about +6% on its $6.27, a continuation, not a data-center step-up. It is not used as a company comparison. Two raises since January, and the band narrowed each time ($0.20, then $0.16, then $0.08). The second raise lifted the floor more than the ceiling. That is confidence on the low end, not an open-ended raise. Ex-promote Core FFO rose at both updates, so July is not only the promote true-up. Calculated mids: $6.10, then $6.15, then $6.26. Ex-promote mids: $6.15, then $6.20, then $6.26. The ex-promote step at Q2 (+$0.06) is about the same size as the Q1 step (+$0.05).
What the guide actually assumes, from Tim Arndt on July 16, not from the September adjectives:
- Occupancy is the driver of the same-store raise. Rent change is still expected to fade. At year-start he put 2026 net-effective rent change in the high 30s, roughly 40%, versus about 50% in 2025. The embedded lease mark-to-market was unchanged in Q2 at about 17% net effective. He said that 17% should not be expected to expand. It normalizes toward a low-double-digit run-rate unless market rent growth exceeds rollover.
- Same-store still carries a Duke drag. Free rent and purchase accounting were cutting net-effective same-store by 75–100 bps, with a multi-year tail. That was not walked back in April or July.
- Easier 2025 occupancy comps fade. The July cash guide, whose high end is 7.25% against a Q2 print of 8.5%, says do not annualize the quarter.
- The market forecast was upgraded only at Q2, and only partway. U.S. net absorption about 220 million sq ft, completions about 195 million, market occupancy up about 30 bps. In April, Chris Caton refused to mark the forecast up. July was the first time the research view itself was raised, and 220 million was described as a return toward a normal year, not a boom. On September 15 Arndt called about 225 million a healthy annual level.
- Housing, autos, and furnishings — roughly a quarter of customers — are the upside that is not in the guide.
- Data-center starts are pre-leased and the 2026 bucket is full. Year-to-date data-center starts were $2.1 billion at June 30. The starts-guide increase is logistics. The plan is still to sell completed projects. The $17 billion to $87 billion range is a multi-year opportunity set, not a 2026 earnings bridge.
- FX is hedged for 2026 euro, sterling, and yen Core FFO. Currency is not the swing factor.
- SEGRO was not in the July Q&A. Takeover-code limits applied. It is not in the FY2026 operating guide.
The Q2 call versus the Daloopa series still disagrees on rent change and on period-end occupancy. The call said rollover exceeded 36% net effective and 22% cash, against Daloopa 30.4% and 17.0%. Period-end occupancy on the call was 95.5%; the Daloopa period-end series is 95.4%. Prologis-share versus owned-and-managed. Core FFO of $1.63 and cash same-store of 8.5% match across both. Those two are the clean baseline. Use one definition. Either way, rent change versus the prior-year quarter is down.
Tone versus the prior three calls
The direction is one-way, from "the market has found a floor" to "the recovery is the base case." What has not changed is the refusal to extrapolate one good quarter.
| Call | Posture | What they would underwrite | What they would not |
|---|---|---|---|
| Q3 2025 | Early. "Found footing." | Record leasing near 62 million sq ft. Same-store ranges raised. Hold occupancy into year-end. | Q4 same-store was guided to decelerate. Data-center earnings kept out of same-store because assets are built to sell. |
| Q4 2025 | Floor is in. Rents beginning to inflect. | Initial FY2026 guide. About 25 bps of average-occupancy improvement, which he said was not aggressive. | Would not call 200 million sq ft a boom. Mark-to-market expected to drift from ~50% rent change toward ~40%. |
| Q1 2026 | Operating beat, macro caution. | Raised occupancy, same-store, starts, and Core FFO. First market-rent increase in 2.5 years. | Held the absorption forecast. Middle East conflict cited. Full-year rent change still ~40%. |
| Q2 2026 | Clearest positive shift. "Next phase of growth." | Second raise. Research view moved to 220 million sq ft. Record signings over 67 million sq ft. | No SEGRO Q&A. Promote year set to zero. Same-store guide set below the quarterly print. Mark-to-market will come down. |
| BofA, Sep 15 | Continuation. "Things are going very well." | Eight quarters of the same trends "continuing here into the third quarter." Signings expected around 60–65 million sq ft. | No new Core FFO, occupancy, or same-store number. Quarter not finished. |
Q1 is the template for this print. They beat, they said the pipeline supported the raise they had just made, and they did not mark the market forecast up until the next quarter had actually delivered. September says the Q2 trend lasted into Q3. It does not say the formal ranges move again.
The gap between the speeches and the 2026 guide is the contrarian seam, and it does not pay on October 15. Management keeps a multi-year market-rent path that "could reach the mid-single digits," a data-center value range in the tens of billions, and Mexico promotes described as perennial. The guide assumes rent change decelerates, the mark-to-market shrinks, data centers show up only through realized gains of $600 million–$700 million, and net promote is zero. The team was early on the occupancy inflection and has now raised twice. The street's temptation is to capitalize those speeches into this quarter's Core FFO. Management's own guide does not. Zacks at $6.27 says the street, at least on this thin book, has not done it either.
What would change the read on the day. A Core FFO print near $1.56–$1.58, with cash same-store still above 7% but cooling and Prologis-share occupancy moving back through 95.2%, means the July guide was the right shape and the ritual is a small tighten toward $6.30. A print that repeats $1.63 means the second-half embed was sandbagged again, and a third raise is the historical pattern. A print that misses the embed because the new shares are already in the denominator, or because the occupancy build did not show up, would be the first break of the "top of the range" habit while a deal is in the share count. The guide to judge that against is the July annual range, not FMP's $0.79.
Q3 is an in-line Core FFO setup inside the raised range. The catalysts that can still move the story are same-store and occupancy versus that guide, logistics starts after the data-center bucket filled, and the September 28 SEGRO vote. The vote is not in 2026 FFO.
| Catalyst | Window | What is expected | Direction | Source |
|---|---|---|---|---|
| Core FFO, ex a promote repeat | Oct 15 print | Zacks $1.58, about +6% vs $1.49. FY $6.27 sits inside $6.22–$6.30. Not positioned for another large raise. | In line | Zacks estimates page, Sep 11; calendar scrape Sep 24 was bot-walled. Two quarterly estimates. |
| Cash same-store NOI | Q3 vs a 5.2% comp | FY 6.75%–7.25%. Q1 8.8% and Q2 8.5% are already above the high. Year-ago quarter is 5.2%, so YoY looks strong even if the rate cools. | Positive YoY; the rate is the guide risk | Daloopa. No street same-store line. |
| Occupancy | FY, tested in Q3 | Floor raised, ceiling not. Share average Q2 was 94.9%, under the 95.25% floor. September color said occupancy was still rising. | Slightly positive, already in the guide | July supplemental; BofA Sep 15. |
| Rent-change spread | Q3 rollover | Net effective troughed at 27.1% in Q1 and was 30.4% in Q2, still −1,380 bps YoY. Mark-to-market kept at about 17%. | Still negative YoY | Daloopa series, not the spoken 36% / 22% share figures. |
| Logistics starts | Rest of 2026 | Data-center starts of $1,289 million and $802 million filled the old bucket. Residual to the $5.5 billion low end is logistics. Not a Q3 FFO item. | Upside to starts, not to Q3 FFO | Q2 call; Daloopa starts series. |
| Fees, not another promote | Q3 | Ex-promote fee guide unchanged at $660–$680 million. Recurring fees +5.3% YoY. Do not repeat $83 million. | Fees steady; promote a non-repeat | July call reset net promote to flat. Prior tag was −$50 million. |
| SEGRO scheme vote | Sep 28; close H1 2027 | Recommended offer at 0.0920 new shares plus a partial cash alternative capped near £3.51 billion. Year one broadly neutral to minimally dilutive. Fixed ratio. | Binary corporate event, not a Q3 line | Scheme site; Aug 4 announcement. |
| U.S. warehouse tightening | Through 2026 | Company: 220 million sq ft of absorption vs 195 million of completions. CBRE Q2 vacancy 6.5%, first quarterly decline since Q2 2022. Definitions differ; direction agrees. | Positive for occupancy, later for rents | Q2 call; CBRE Q2 2026. |
Other Americas period-end occupancy is the regional outlier: 94.8%, −230 bps versus a year earlier and the low of the eight-quarter window. U.S. owned-and-managed period-end is 95.6%, +50 bps, and Europe is 96.0%, +70 bps. Asia is 93.8% and still the structurally empty book, but it is +60 bps. Ask about other Americas. It does not show up in a single company-wide occupancy number.
The macro tape agrees with management on supply and is a separate question for the multiple. CBRE, Colliers, and Prologis all had demand ahead of completions by the second quarter. Cushman & Wakefield's read of the September 16 policy move was that higher financing costs constrain new construction. That is the supply side of the rent argument. It is not in the $1.58. Rates do not change Q3 NOI.
Window is July 17 through September 24, after the Q2 print and before the Q3 call. The July 16 results release and the September 3 date notice are excluded. The local news cache covered Prologis only through July 29. Later items were checked against company releases, the SEGRO scheme site, Reuters, WSJ, and the European Commission. No guidance was withdrawn. The dividend was held. The operating sentence since the print is one conference: the Q2 trend was still in place with the quarter unfinished.

|---|---|---|---|
| Jul 20 | Third SEGRO proposal rejected | 0.0890 shares plus up to £2.7 billion cash, about £13.5 billion. Still Rule 2.4, not a firm offer. The release leaned on Q2 cash same-store of 8.5% and Core FFO of $1.63. | Prologis |
| Jul 22 | Best and final; board minded to recommend | Ratio stepped up to 0.0920 and cash to about £3.5 billion. Deadline moved to August 12. Deal risk flipped from "walk away" to "document a firm offer." Not yet Rule 2.7. No effect on the FFO range. | Prologis; Reuters |
| Jul 28 | GSK anchors a Cambridge R&D centre | £400 million over three years, more than 1,000 scientists, into space Prologis is developing. Life sciences, not logistics same-store. Small next to SEGRO. Evidence capital is still going out ahead of demand in a non-warehouse product. | GSK RNS |
| Aug 4 | Recommended acquisition, about $18.8 billion | Rule 2.7. Close guided to H1 2027. £3.575 billion term loan backstops the cash slice. Year one, with synergies, broadly neutral to minimally dilutive to Core FFO and AFFO. SEGRO's data-centre pipeline sits next to Prologis' 5.8 GW. Not in Q3 FFO. | Prologis; Reuters |
| Aug 4–7 | $2.1 billion equity, plus greenshoe | 15 million shares at $139.85. Greenshoe of 2.25 million added about $312 million, closing August 7. Proceeds can fund SEGRO and hit per-share FFO whether or not the scheme closes. Not in the July denominator. | Pricing release |
| Aug 10 | Fitch watch on SEGRO, not on Prologis | SEGRO BBB+ / A- on Rating Watch Evolving. Prologis' "maintain A2/A" line is an expectation, not a finished capital structure. Matters because up to £3.5 billion of cash is bridged with acquisition debt. | Fitch via MarketScreener |
| Sep 1 | Scheme document; meetings set | Court meeting 11:00 and general meeting 11:15 London time on September 28. Proxy deadline was September 24. Court sanction still H1 2027. The vote is a condition, not a closing. It can dominate the October 15 narrative. | Equiniti scheme site |
| Sep 2 | Dividend held at $1.07 | Same common rate as March and June. The annualized $4.28 run-rate is the February increase, not a new raise. No special dividend and no cut in front of the share issuance. | Prologis |
| Sep 8–22 | Hamburg logistics asset | EU cleared joint control with NBIM of a Hamburg site (M.12502). Trade press then reported a Prologis purchase of the Fiege box, about 94,000 sq m and about €140 million. One asset does not move the $1.5–$2.0 billion acquisition guide. Joint-control versus sole-purchase headlines do not match. No company price release. | European Commission M.12502; Green Street; CoStar |
| Sep 15 | CFO: Q3 trends still with the last several quarters | Leasing volumes, faster decisions, higher occupancy, and positive market rent growth continuing into the third quarter, still supporting logistics development. Intra-quarter color, not a guidance update and not a Q3 print. SEGRO close restated as H1 2027. | Seeking Alpha transcript |
Left out on purpose: the July 16 earnings release, the September 3 webcast-date release, the July 1 board appointment of Alfred F. Kelly, Jr. (before the window, and not a C-suite change), sell-side target changes, FIBRA Prologis' distribution, and routine Rule 8.3 dealing disclosures. The quarter Prologis will discuss is still a standalone quarter. Dilution and the sterling term loan are real. They are not in Q3 reported Core FFO.
On the metric the street actually scores, Core FFO per share, Prologis is a consistent beater. Strict beat rate is 9/12 over the last 12 printed quarters and 3/4 over the last 4, with zero misses in either window. The other three prints were penny in-lines. Beat magnitude is not improving. The average surprise fell from +4.9% in 2024Q3–2025Q2 to +2.8% over the last four. The two largest beats (2024Q4 +8.7%, 2026Q2 +6.5%) are the promote-heavy quarters. Ex-promote, 2026Q2 Core FFO of $1.60 still beat a $1.53 consensus by about 4.6%. Promote inflated the beat. It did not create it.
FMP GAAP EPS is not the scorecard. Those "beats" of +30% to +114% are disposition-gain optics. FMP rental-revenue surprises are small and mixed over 12 quarters (8/12), then six straight small beats. In-line means a penny meet. 2026Q3 is excluded. It has not printed.

Management scores the quarter against their own plan and the annual guide, not against FMP GAAP EPS. The repeating formula is occupancy and same-store versus that plan, then promote timing, then whether they pass the beat into the guide. On the 2024Q3 call Arndt said the street's $0.06 beat was already in the year: "you see it as a beat, we don't." 2024Q1 was the other tell: an in-line quarter in which they cut the year. 2026Q2 was ahead of their own expectations on both the $1.63 and the $1.60 ex-promote figures, and the promote was called out as predominantly Mexico rather than buried. For this print the history says another beat or an in-line is the base rate (12 for 12 on not missing), and a +6% to +9% surprise would be a new event, not the recent run-rate of roughly 0% to +3.5%. Zacks' own model was leaning toward a miss versus $1.58 on an Earnings ESP of −1.27% in the same unverified scrape. That is a model lean, not a fact, until the page can be re-read.
