DOCN | Concerns, Catalysts & Risks: 6/10
Data note: Daloopa is not connected this session (see company_context.md), so no daloopa.com/src citations are possible. Fundamentals below come from FMP /stable statements and SEC filings, consensus comes from FMP analyst estimates, and qualitative points come from the 8 local transcripts (FY2024Q3 to FY2026Q2). DOCN market data (EV $12.34B, FMP key-metrics-ttm, quote ts 2026-10-16) is taken from company_context.md and not re-fetched. Peer EV and consensus were pulled from FMP /stable (key-metrics-ttm, analyst-estimates) on 2026-10-16.
Valuation: primary metric is EV/Revenue (high-growth AI/cloud infrastructure)
| Metric | FY+1 Estimate (FY2027E) | Multiple | Peer Avg |
|---|---|---|---|
| EV / Revenue (primary) | $1,820M (FMP consensus, +54% YoY) | 6.8x | 8.8x all 5 peers; 3.8x ex-Cloudflare; 4.0x median |
| EV / EBITDA | $437.7M (FMP consensus) | 28.2x | 31.6x all 5; 15.4x ex-Cloudflare; 19.3x median |
| EV / Adj. EBITDA (mgmt ~40% margin framework) | ~$728M (implied: $1,820M x 40%) | ~17x | n/a (peer basis not like-for-like) |
| P / E | $1.80 (FMP consensus) | 55.0x | AKAM 13.1x, FSLY 35.2x, NET 176x; CRWV/NBIS negative EPS |
Peer set (FY2027E, FMP /stable, EV from key-metrics-ttm):
| Peer | EV ($B) | FY27E Rev ($B) | FY27E Rev growth | EV/Rev FY27E | EV/EBITDA FY27E |
|---|---|---|---|---|---|
| CoreWeave (CRWV) | 79.2 | 26.56 | +106% | 3.0x | 9.4x |
| Nebius (NBIS) | 42.8 | 12.10 | +262% | 3.5x | 22.9x |
| Cloudflare (NET) | 107.0 | 3.68 | +28% | 29.1x | 96.3x |
| Akamai (AKAM) | 20.6 | 5.21 | +16% | 4.0x | 10.1x |
| Fastly (FSLY) | 3.9 | 0.85 | +15% | 4.6x | 19.3x |
| DOCN | 12.3 | 1.82 | +54% | 6.8x | 28.2x |
- The headline average (8.8x) is distorted by Cloudflare at 29x. On the median (4.0x) or ex-Cloudflare average (3.8x), DOCN trades at a ~70 to 80% premium on FY27 EV/Revenue. Against the two neoclouds it is most often compared with on AI capacity, the premium is about 2x, while those peers are guided to grow 2 to 5x faster.
- Management's case for the premium is that DOCN is a software-heavy, consumption-based platform, not a bare-metal lessor: 85% of AI customer ARR is non-bare-metal, and ARR per megawatt is said to be "materially higher" than the $9M to $12M neocloud benchmark (FY2025Q4 and FY2026Q2 calls). It is profitable (Q2 2026: 40% adj. EBITDA margin, 24% adj. operating margin) where CRWV and NBIS are not on GAAP EPS.
- Consensus gap to flag: FMP's FY27 EBITDA of $437.7M is a 24% margin, while management frames FY27 at ~40% adj. EBITDA (FY2026Q1 call). The FMP figure probably mixes GAAP and adjusted bases. On management's framework DOCN is about 17x EV/adj. EBITDA. That is at the peer median, not above it.
- Verdict: above peer average on the primary metric once the Cloudflare outlier is removed, and roughly in line on adj. EBITDA. This is not a discount setup.
China exposure
| Region (billing address) | FY2023 | FY2024 |
|---|---|---|
| North America | 37% | 38% ($295.4M) |
| Europe | 29% | 28% ($222.0M) |
| Asia | 24% | 23% ($182.4M) |
| Other | 10% | ~11% |
Source: DOCN 10-K FY2024 / FY2023 (SEC EDGAR CIK 1582961). The FY2025 10-K geographic figures were not extracted this run.
- China revenue is not disclosed and is likely immaterial. DOCN runs no data centers in China. Its regions are NY, SF, Atlanta, Richmond, Kansas City, Memphis (2H26), Toronto, Frankfurt, Amsterdam, London, Bangalore, Singapore and Sydney (FY2025 10-K). The FY2025 10-K does not mention China. Asia revenue (~23%) is mostly India, Singapore and Southeast Asian developers.
- Indirect China angle: open-weight Chinese models (DeepSeek V4, Kimi K3, GLM-5.2, Qwen) make up a large share of the ~75% open-weight token mix on the inference engine (FY2026Q2 call). A US restriction on serving PRC-origin model weights would hit the fastest-growing product line. This is a supply-side risk, not a sales-exposure risk.
Catalysts (timing)
| Catalyst | Timing | What would move the thesis |
|---|---|---|
| Q3 2026 print | 2026-11-04 | Guide $304M to $307M (+32 to 34%), adj. EBITDA 38 to 39%, EPS $0.28 to $0.30; consensus $306.7M / $0.32. A 4th straight raise and a reaffirmed 35%+ Q4 exit rate. |
| Memphis data center launch | 2H 2026 | Last of the three 2026 sites (Richmond Q1 and Kansas City Q2 both came in early). Majority of capacity is pre-allocated. |
| Formal FY2027 guide | Q4 print, ~Feb 2027 | Management has said "50%+" growth twice and raised it from 30% (FY2025Q4 call). Consensus is already at +54%. |
| RPO and 9-figure commitments | Each quarter | RPO is $894M (up 12x YoY, 3.7-yr average life) after the first 9-figure annual commitment in Q2. More deals would de-risk the 155 MW ramp. |
| GPU pricing | Ongoing | ~30% list-price increase on several GPU fleets is already in the FY26 guide. It carries into FY27. |
| Incremental capacity | 2027 to 2028 | 155 MW committed (+20 MW in Q2), most online by end-2027. Management is "actively pursuing" more. |
Guidance trajectory (a strong point): the FY2026 growth guide went from 21% (FY2025Q4 call) to ~30.5% now. The FY2027 framework went from 30% to 50%+. The company beat the revenue estimate in each of the last 4 quarters (Q2 2026: $281.2M vs $279.0M).
Regulatory / political and business risks
- Capex intensity and FCF quality (highest concern). TTM capex is ~34% of revenue (FMP key-metrics-ttm), capex/D&A is ~2.0x and TTM GAAP FCF is near zero. Quarterly FCF per FMP: Q4'25 -$108M, Q1'26 +$2M, Q2'26 +$64M. "Adjusted" FCF (11 to 13% FY26 guide) excludes equipment-finance principal. Management says FCF stays positive after principal, but the margin is thin. This is a growing-revenue, weak-FCF profile, which is a red flag under our framework, though it is explained by capacity front-loading.
- Rising capex per MW and component inflation. Management said capex per MW for the 60 MW tranche is higher because of "rising component costs the entire market is seeing" (FY2026Q1). Returns depend on ARR per MW rising faster than cost.
- Leverage and financing dependence. Management targets net leverage "well below" 4x. Pro forma net leverage is ~0.7x after the July 2026 equitization of $472M of the 2030 converts. Growth is funded by equipment financing, so a tighter credit market for AI infrastructure is a real risk. The October 2026 sector selloff tied to AI-infrastructure debt fears shows the market is pricing this risk.
- Customer concentration is creeping up. Top 25 customers were 7% of revenue in FY2023, 10% in FY2025 (10-K) and 20% of ARR in Q2 2026. Management says this will "only modestly increase." Large AI-native customers can churn or bring compute in-house.
- Competition. Hyperscalers, GPU neoclouds (CRWV, NBIS, Lambda, Crusoe) and token-serving specialists (Together, Fireworks, Groq) all compete for inference. GPU pricing power (+30%) could reverse when supply loosens.
- Regulatory. US export controls (EAR/OFAC) on advanced GPUs and AI services cover its Bangalore, Singapore and Sydney regions. Evolving AI, privacy and data-transfer law (EU) applies, given Europe is ~28% of revenue. There is no sector-specific regulator. Overall this is low to moderate.
- Insider selling. GuruFocus cites ~$574M of insider selling over the trailing 12 months. Worth checking against Form 4s (likely founder/early-holder sales).
- Metric change. Management dropped NDR as a key metric in Q2 2026, even though NDR was at a 3-year high of 102%. The stated reason (AI and top-cohort mix) is reasonable, but removing a disclosed KPI deserves scrutiny.
Bull case
- Software-differentiated inference (inference services up ~800% YoY, now >70% of AI ARR, 6,000+ inference-engine customers) plus core-cloud attach (~70% of $100K+ AI customers) means higher and stickier ARR per MW than bare-metal neoclouds.
- Growth is accelerating with a credible record: from 14% to 29% in a year, guided to 35%+ exit and 50%+ in FY27, with 4 straight revenue beats and repeated raises.
- Profitable at scale (40% adj. EBITDA). On management's FY27 framework it trades at ~17x EV/adj. EBITDA, near the peer median, despite growing over 50%.
Bear case
- At 6.8x FY27 revenue, DOCN trades at a ~2x premium to neoclouds that grow faster. FY27 consensus already sits at +54%, above the "50%+" management floor, so most of the guided upside is priced in.
- GAAP FCF is near zero and financing-dependent, and capex per MW is rising. If GPU pricing normalizes, or the open-weight token mix commoditizes, the premium for the software layer compresses.
- Concentration has tripled in three years and the NDR KPI was retired. DOCN is a sub-scale player against hyperscalers, which our "leaders stay leaders" principle penalizes.
Scoring
- China: no China operations or disclosed revenue (+). Indirect risk via PRC-origin open-weight models.
- Valuation: above peer average on the primary metric ex-outlier (-). Roughly in line on adj. EBITDA.
- Catalysts: strong and near-term (Nov 4 print, Memphis launch, FY27 guide, RPO deals) (+).
- Regulatory: low to moderate (export controls, AI and privacy law). Financing and capex risk is the bigger overhang.
Assessment: DOCN scores 6/10 on concerns, catalysts and risks. China exposure is effectively nil: no China footprint, China never mentioned in the FY2025 10-K, and Asia revenue is mostly India and Singapore. The regulatory overhang is limited to GPU export controls and AI and privacy rules. The catalyst calendar is strong and close: the November 4 Q3 print (guide +32 to 34%), the Memphis launch, a formal FY2027 guide against a "50%+" framework already raised twice, and lumpy but growing RPO ($894M). What holds the score near the middle is valuation and cash quality. At 6.8x FY27 EV/Revenue, DOCN trades at roughly a 70 to 80% premium to the ex-Cloudflare peer average and about 2x CoreWeave and Nebius. Consensus already sits above management's growth floor, and GAAP FCF is near zero, with capex about a third of revenue, financed by equipment debt and facing rising cost per MW. Top-25 concentration has risen from 7% to 20% and NDR was retired as a KPI. The setup rewards continued beat-and-raise execution but leaves little valuation cushion if GPU pricing or AI-infrastructure credit conditions turn.
