DOCU | Earnings Review — FQ2 FY2027
Verdict: ACCELERATING on EPS and IAM mix; modest on the top line, and the Q3 as-reported box does not confirm a third step-up. Revenue $875.7 million (+9.4% YoY vs $800.6 million) is the fastest quarter in 12. Non-GAAP diluted EPS $1.16 (+26.1% vs $0.92) is the fourth straight acceleration off a FQ2'26 tough-comp trough. Non-GAAP operating margin 31.6% (+180 bps YoY; +140 bps vs the 30.2% guide high). Free cash flow $295.8 million / 34% margin (+36% YoY). The leak: non-GAAP gross margin 81.7% (−34 bps YoY) on the cloud migration.
Print (clean triple beat, shrinking revenue residual). vs FMP $867.2M / $1.09 = +$8.5M / +1.0% revenue and +$0.07 / +6.4% NG EPS. Cleared the company high ($869 million) by +$6.7M / +0.8%. Consistent beater: L12 12/12 revenue and 12/12 NG EPS. Revenue-beat magnitude is deteriorating (L4 avg +1.1% vs prior-4 +2.0%). The quality tell is the OM beat vs guide, of which Blake says roughly half is capitalized software.
Guidance (ARR/IAM/OM raise, not a top-line surprise). FY27 revenue nudged +$7M to $3.499–$3.507 billion (mid $3.503B) — that is FMP $3.504B. ARR growth raised to 8.5–9.0% (was an 8.5% point / Daloopa 8.25–8.75% at Q1). IAM exit mix 18–19% (was ~18%). NG OM +50 bps to 31.0–31.5% — the second consecutive +50 bp raise. Q3 revenue $886–890 million sits on FMP $889M.
Tone. More confident on the one metric Q1 held back (ARR). Same “we don’t plan for beats” speech, louder on capitalized software and FX/add-on noise. Deal-size color is new: largest-ever U.S. public-sector deal, largest-ever LatAm deal, customers >$300k ACV +14% YoY.
Contradictions. Two genuine ones: Q1 understated the direct-customer base (~250k vs 284k / 289k), and Q1 claimed seven sequential DNR increases against a rounded-flat 102% series. Printed dollars this quarter match the KPI book.
Catalyst into 3 Dec. IAM mix must print ≥16.5% to stay on 18–19% exit. DNR hold 103% or print 104%. A $2–3M revenue beat of the $888M mid is not the upgrade. Street (FMP Hold: 8 buy / 18 hold / 2 sell) will not pay a growth multiple until reported growth is closer to 10%. MCP GA (30 Sep) is a distribution event, not a modeled revenue event.

Driver read. International is doing the growth work the U.S. will not — +16.8% vs +6.3%, mix 26.5% → 31.1% over 12 quarters. IAM is the product vector (2.3% of ARR to 15.1% in six quarters) and large-customer ACV is re-accelerating (>$300k +14% YoY, fastest in the window). Subscription is still ~97.5% of revenue and is not accelerating as fast as the consolidated print (+8.9% vs +9.4%) — the 9.4% has a 1.3pp FX tailwind plus a lumpy professional-services bounce (21.8 / +34% YoY). Direct DNR finally ticked to 103% after four quarters stuck at 102%.

Last four FCF YoY prints (+24.8% → +25.3% → +27.0% → +35.9%) are a clean cash acceleration. nGAAP GM is the offset — −34 bps this print, −80 bps in FQ1 — consistent with IAM/infra mix, not a collapse. FQ2'25’s 32.2% OM was the window peak, which is why FQ2'26 OM YoY went −240 bps.

Five-year shape is a growth deceleration then a grind-up: +19.4% → +9.8% → +7.8% → +8.2% in FY26, with FY27 guide midpoint +8.8%. nGAAP OM did the heavy lifting in FY24–FY25 and stalled at +30 bps in FY26; the FY27 guide is a +90 to +140 bps re-acceleration that H1 is already running ahead of (FQ1 32.0% / FQ2 31.6%). H1 nGAAP EPS $2.25 vs $1.82 (+23.6%) — Street’s $4.62 is a +20% year, consistent with H1 plus the remaining buyback.
FMP scores total revenue and non-GAAP diluted EPS. Company guides revenue, NG GM, NG OM and WASO one quarter forward. Street does not print GAAP EPS (FQ2'25 $4.26 was a tax item).

Why they beat. IAM attach slightly ahead of plan + balanced geo/segment execution + modest FX. EPS/OM beat from (i) revenue flow-through, (ii) hiring discipline, (iii) capitalized R&D (~half of the 160 bp OM overrun, no FCF impact), (iv) −8.5% share count. Not a one-off tax item. The ARR raise is the variant vs Q1.

Classification: consistent beater. Revenue magnitude deteriorating. EPS magnitude mixed-to-improving. vs company guide: consistent above-high on revenue (7/7 converted quarters in the tracker) and OM. Blake is explicitly telling the Street to expect smaller top-line beats as forecasting tightens. Haircut ~40 bps of the OM beat for capitalized software before underwriting 31%+ as a cash margin.

Headline: The raise that matters is ARR — 8.5% point → 8.5–9.0% — plus IAM mix ~18% → 18–19% and a second consecutive +50 bps OM lift to 31.0–31.5%. FY27 revenue only moved +$7M at the midpoint, which is Street.

Blake’s $7M FY raise bridge: prior mid $3,496 + Q2 beat vs Q2-guide mid +$9 + 2H organic +$2 − incremental FX −$4 = $3,503. Pass-through of the Q2 beat is real. The 2H raise is a rounding error.
Source: Daloopa FY27 revenue guidance (ids 169828574, 179287167). FMP 14 analysts. Bars are schematic on a 3,490–3,508 scale — the $7M move is a rounding error on a $3.5B year.
OM is still a sandbag. Q2 already printed 31.6%, above the new FY high of 31.5%. H1 OM is ~31.8% on $1,706M of sales, so a 31.25% FY mid implies H2 at ~30.7% — a ~90 bps drop from Q2 they have not earned on the last seven OM conversions.
As-reported Q3 +8.5% is a deceleration; CC/normalized is the claim. Management’s acceleration is ARR and quality-of-growth, not the printed %. If Q3 CC is not ≥ Q2 CC, the ARR raise was a 1H pull-forward.

100% beat rate on a $4M-wide revenue range is performative. 100% beat rate on OM with +50 bps FY raises two quarters in a row is sandbagging you can underwrite.
As-reported revenue YoY re-accelerated for a second consecutive quarter to an 8-quarter high of +9.4%, but this is a grind, not a regime change — +91 bps then +66 bps, and ~1.3pp of the print is FX. Non-GAAP EPS is the real inflection: four straight accelerations from a FQ2'26 −5.2% tough-comp trough to +26.1%.
Inflection map.
- FQ1'26 revenue trough — +7.6% (−135 bps). First break lower after FQ4'25’s +9.0%. Not a structural roll-over; FQ2'26 bounced +117 bps.
- FQ4'26 second dip — +7.8% (−36 then −61 bps). Two-quarter fade into FY2026 year-end. This is the print the FY27 “acceleration year” thesis had to beat.
- FQ1'27 / FQ2'27 re-acceleration — +8.7% then +9.4% (+91 / +66 bps). 8-quarter high. IAM mix 12.6% → 15.1% of ARR in one quarter. Magnitude is modest; FX is 1.3pp of the 9.4%.
- FQ2'26 NG EPS trough — −5.2% (−1,491 bps). Lapping $0.97 / 32.2% OM. Absolute EPS still $0.92.
- FQ3'26 EPS inflection — +1,738 bps to +12.2%, then +522 / +367 / +498 bps. Four-quarter EPS YoY-rate climb to +26.1%. Operating leverage + buyback, not a one-quarter spike.
Do not confuse the two tapes. A company growing 9% and accelerating beats a company growing 15% and decelerating — that is the rule. DOCU is the 9% case. The 8-quarter revenue tape is a narrow +7.6% to +9.4% corridor, not a V. Strip the 1.3pp FX and you are looking at ~+8.1% organic, a ~100 bps step-up from FQ1'27 ex-FX that matches Grayson’s “just under 1 percentage point” claim. EPS is running ~1,670 bps ahead of revenue because NG OM expanded +180 bps and WASO fell 8.5%. ~9pp of the 26pp is shares, not operations.
The live catalyst is IAM mix, not MCP. Mix is already at 15.1% of ARR after a +250 bps sequential jump, ahead of a linear path to the raised 18–19% FY27-exit guide. Street raised PTs on 4 Sep but kept Hold/Neutral (Citi wants near-double-digit growth before a Buy). MCP GA is a distribution/moat event, not a modeled revenue event — management said so.
| # | Catalyst | Timing | Street bar | Implication |
|---|---|---|---|---|
| 1 | IAM mix → 18–19% of ARR | Score on Q3 (2026-12-03) and Q4/FYE (Jan 2027) | Linear remaining path +145–195 bps/qtr vs +250 bps just printed | Mix ≥16.5% with DNR ≥103% makes Hold-to-Buy upgrades plausible. Mix stalls &;16% or DNR rolls back to 102% and the raise looks like a Q2 one-off. This is the variant. TCV uplift vs eSign reclass is still unquantified |
| 2 | Q3 FY27 print | 2026-12-03 | FMP $889.0M / $1.16. Guide $886–890M, NG OM 31.3–31.7% | A midpoint print with IAM/DNR/$300k still accelerating is a hold-the-line result. The upgrade is ARR/IAM, not a $2–3M revenue beat. Grayson pushed back on “1-point beats forever” |
| 3 | DNR expansion mix | Running through FY27; next read Q3 | Street has been waiting for expansion to show up. 103% is the first print above 102% | Another 102% is a fade; 104% is confirmation. Still not a 108–110% SaaS story |
| 4 | Upmarket / public-sector / LatAm | Q2 already printed; sustainability in Q3/Q4 | Citi’s PT raise tied to “larger customer expansion” | Third straight double-digit $300k-cohort print kills the one-off mega-deal bear. One-off is the bear |
| 5 | MCP server GA + agentic distribution | 2026-09-30. Claude-for-SMB live 2026-09-15 | Street is not modeling a Q3 revenue spike — correctly | Connectors require an IAM license; existing-customer downloads “don’t drive incremental revenue.” Watch post-GA active accounts and new-logo discovery, not dollars |
| 6 | Cloud migration complete → GM stabilization | “Largely complete by FYE” (Jan 2027) | FY NG GM still 81.5–82.0% | Q4 GM at the high end with migration called “done” pulls FY28 GM up. A miss means AI-inference costs are the new drag |
| 7 | Digital add-on noise dies | Immaterial by FQ4'27 | FMP FY28 $3.783B (~+8%) assumes no re-acceleration | De-noising catalyst, not a growth one. Cleaner FY28 compares let ARR and IAM mix be the only numbers that matter |
| 8 | Capital return | $2.1B remaining; Q2 buybacks $306.5M | Street already credits the EPS math (FMP FY27 $4.62) | Continued ~$300M/qtr is the base case, not a new catalyst. A slowdown is a negative EPS-mix surprise |
What to score on 3 Dec. (1) IAM % of ARR — need ≥16.5%. (2) Direct DNR — hold 103% or print 104%. (3) Customers >$300k ACV YoY — third straight double-digit. (4) MCP post-GA qualitative. (5) Revenue vs $886–890M — necessary, not sufficient.
Call 2026-09-03. Allan Thygesen (CEO), Blake Grayson (CFO), Gary Fuges (IR). Twelve questions from eleven analysts. Tally: 6 well-answered / 6 deflected.

Street got a clean ARR-vs-revenue bridge (Turrin) and a real moat explanation (Walravens: private consented corpus + architecture vs 20-document chat upload). It did not get Sign-to-IAM TCV uplift, GTM conversion math, or packaging-test results.
The unanswered question that matters. McIlwee asked how much of IAM mix is migration/reclassification of eSign or CLM spend vs truly incremental wallet, and the typical TCV uplift on Sign → IAM. Grayson: “We don’t disclose the level of expansion.” Until that uplift is disclosed, IAM mix to 18–19% can be a relabel of eSign dollars, not an acceleration. That is the management-vs-Street contradiction in the investing-principles sense: management is repeating that IAM is incremental wallet and ARR is accelerating; Street’s FY28 is 8% sales, which only works if IAM is mostly mix-shift.
Pattern. Management will discuss mix, moat, and bridges. It will not discuss IAM unit economics or how much sand is in the guide. If McIlwee/Quintero-type questions are still “we don’t disclose” at the Q3 call, treat IAM mix as a narrative KPI, not a growth algorithm.
Two genuine contradictions — wording vs the KPI book, not a restatement of the print. Labeled guidance raises (ARR, IAM, revenue, OM) are excluded.
Checked tensions that are not contradictions: Allan’s “32% operating margin” vs 31.6% (standard rounding); IAM mix beating a “linear” path that was then explicitly raised; MCP “accounts quadrupling” vs “requests quadrupling” (two units); connectors “don’t drive incremental revenue” vs credit model (compatible if prepaid credits, no new ACV).
This is a product-and-ecosystem call, not a classic macro call. Zero comments on the Fed, CPI, unemployment, PMI, recession, or tariffs. Named IAM customers this quarter: Salesforce, Oppenheimer, SailPoint, Upstart, Optimizely, HydroCorp.
One-line macro takeaway. No rates/CPI/ISM signal; the live tape is healthy digital-SMB adds (1.91 million customers, +10% YoY), opening enterprise expansion (DNR 103%, +14% $300k+ logos), a record U.S. public-sector deal, and a 1.3pp FX tailwind that is not the source of the raise.
| Theme | What was said | Read-through |
|---|---|---|
| Salesforce (CRM) | Named IAM customer and long-standing system-of-record partner. “Salesforce is deploying IAM as a trusted system of record for agreements.” Agreement-library access inside Salesforce. HydroCorp IAM integrated with Salesforce | Highest-signal commercial print: CRM is the attach rail, not a replacement. Better for CRM (keeps the SoR seat) and DOCU (attach + expansion). Worse for stand-alone CLM that cannot live inside Salesforce |
| Microsoft / Copilot, Google Gemini, OpenAI, Anthropic, Slack, Perplexity | Embed-don’t-compete. MCP server GA at month-end. Connectors require an IAM license; existing-customer downloads do not drive incremental revenue | Distribution surfaces, not a 2027 P&L line. Same 2010s API playbook: own the workflow/data, rent the glass. Mildly worse for legal-AI wrappers that need users to leave those apps |
| Enterprise wallets | DNR 103% with expansion now a larger share; &;$300k ACV +14% YoY; largest-ever U.S. public-sector and LatAm deals | Software-budget opening on an existing 1.9 million-customer base, not a broad IT-spend boom. Positive cross-read for other installed-base expansion names if they confirm. GovTech is transacting |
| International / FX | Intl $272.2M +16.8% vs U.S. $603.5M +6.3%. FX +1.3pp, fading to ~1pp in Q3. Incremental $4M FY FX headwind vs prior guide | Same USD-softness tape other global SaaS will print. The raise is not an FX story |
| SMB / digital funnel | Customer count +10% YoY, “driven in particular by our digital channel.” Canada consumption test “results look good,” no broader geo rollout. eSign still positioned as the premium SKU | Resilient self-serve software demand, not a trade-down cycle. No named eSign competitor (Adobe unspoken) |
| AI unit economics | 300 million consented documents ingested. Native architecture “significantly lower marginal costs than offerings that route to external LLMs.” NG GM holding 81.7% as AI scales | Directly worse for legal-AI wrappers / chat-upload tools (20-doc UX wall). Better for vendors who own the corpus. Unverified vs OpenAI/Anthropic enterprise products |
| Labor / opex | Headcount 7,137, +3% YoY, all YoY net adds from lower-cost locations. SBC 17% of revenue, −3 pp YoY. Zero debt, cash just under $1B | Software labor is being re-mixed to cheaper geos, not expanded in high-cost U.S. hubs. Not a U.S. tech-wage re-acceleration print |
| Cloud migration | NG GM −30 bps YoY, “largely complete by year-end” | Time-boxed COGS headwind. Near-term better for unnamed hyperscalers capturing remaining migration dollars. FY28 GM tailwind of maybe 20–40 bps if they are telling the truth |
Highest-signal external read-throughs (ranked). (1) Salesforce is both the rail and a named IAM customer. (2) Enterprise expansion is finally showing up in DNR plus a record public-sector deal. (3) Digital/SMB funnel +10% customers, premium eSign stance, no recession language. (4) AI unit economics: 300 million consented docs vs 20-at-a-time chat upload. (5) FX is a 1.3pp tailwind, not the raise. (6) Missing classical macro — do not over-read this call for Fed, CPI, or ISM.
